These Terms of Service (the “Terms”) govern your access to and use of the DocuGrad platform at docugrad.com (the “Service”), provided by OfficePort LLC(“OfficePort,” “we,” or “us”). By creating an account, signing in, or using the Service, you agree to be bound by these Terms on behalf of yourself and the institution you represent (the “Customer” or “you”).
1. The agreement
These Terms form a binding agreement between you and OfficePort. If you do not agree, do not use the Service. If you accept these Terms on behalf of an institution, you represent that you have the authority to bind that institution.
2. Your account
To use the Service you must create an account. You agree to:
- Provide accurate and complete registration information.
- Keep your password and access credentials confidential.
- Be responsible for everything that happens under your account.
- Notify us promptly if you suspect any unauthorized use of your account.
You are responsible for the activities of every user under your tenant, including administrators, registrars, and any third parties you invite.
3. Subscription & payment
The Service is offered on an annual subscription basis. Fees, term length, and any add-ons are stated on the quote or invoice we issue to you.
- Quotes are valid for thirty (30) days unless stated otherwise.
- Invoices are due Net 30 from the invoice date unless we agree to other terms in writing.
- Accepted payment is check, made payable to OfficePort LLC, mailed to 5409 S Nashville Ave, Chicago, IL 60638.
- Late payments may result in service suspension until paid in full.
- Renewals happen on an annual basis. Either party may cancel by giving written notice at least thirty (30) days before the renewal date.
- Fees are non-refundable once paid, except where required by law.
4. Your data
You own your data. Any graduate roster, template, signature image, or other content you upload to the Service (collectively, “Customer Data”) belongs to you. We never claim ownership of Customer Data.
You grant us a limited, non-exclusive license to host, copy, transmit, and display Customer Data solely as necessary to provide the Service to you. We do not use Customer Data to train any machine-learning model, and we do not share it with any third party except as needed to operate the Service (for example, our SMTP provider when you choose to email a generated diploma or invoice).
Multi-tenant isolation: every institution’s data is scoped to its own tenant. Other customers cannot see your data. CSV imports replace the prior roster on upload, so older graduate data does not persist indefinitely.
5. Acceptable use
You agree not to, and not to permit any of your users to:
- Use the Service to print or distribute fraudulent, forged, or unauthorized academic credentials.
- Upload any content that infringes a third party’s rights or violates any law.
- Attempt to gain unauthorized access to any tenant other than your own.
- Probe, scan, or test the vulnerability of the Service except with our prior written consent.
- Reverse engineer, decompile, or attempt to extract the source code of the Service.
- Resell, sublicense, or otherwise commercially exploit access to the Service without our written consent.
- Use the Service in any way that interferes with or disrupts other customers.
We may suspend or terminate accounts that violate these rules.
6. Availability
We aim to keep the Service available at all times but do not guarantee uninterrupted access. Planned maintenance windows will be announced in advance when reasonably possible. We are not liable for downtime caused by factors outside our reasonable control, including hosting provider outages, network failures, or events of force majeure.
7. Intellectual property
The Service, including the software, design, logos, documentation, and the DocuGrad name and seal, is the property of OfficePort and is protected by copyright, trademark, and other intellectual-property laws. These Terms do not grant you any right in our intellectual property except the limited right to use the Service during your subscription term.
You may not remove or alter any proprietary notices on the Service or on any output it produces (other than the standard branding on diploma artwork that you supply).
8. Suspension & termination
We may suspend or terminate your access if you breach these Terms, fail to pay an invoice when due, or use the Service in a way that exposes us to legal liability.
You may cancel your subscription at any time by giving written notice to support@docugrad.com. Cancellation takes effect at the end of the then-current term.
On termination, your access to the Service ends. We will retain Customer Data for thirty (30) days to allow you to request an export, after which we may permanently delete it from our active systems.
9. Disclaimer
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED.
You are responsible for proofreading every diploma generated by the Service before printing. We are not responsible for printing errors caused by inaccurate data in your CSV, misconfigured templates, or pre-printed stock that differs from what you described.
10. Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, OFFICEPORT AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE FEES YOU PAID TO US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
11. Indemnification
You agree to defend, indemnify, and hold harmless OfficePort and its officers, employees, and agents from any third-party claim or demand arising out of your Customer Data, your violation of these Terms, or your violation of any law or third-party right.
12. Changes
We may update these Terms from time to time. If we make a material change, we will notify you by email or by posting a notice in the Service at least thirty (30) days before the change takes effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
13. Governing law
These Terms are governed by the laws of the State of Illinois, United States, without regard to its conflict-of-law principles. Any dispute arising out of these Terms or the Service shall be resolved exclusively in the state or federal courts located in Cook County, Illinois, and you consent to the personal jurisdiction of those courts.
